Terms of Service

Please read these Terms carefully before using the Prezivio Health platform, mobile applications, or services.

This Agreement contains provisions governing how claims between you and Prezivio Health can be brought, including requirements to submit claims to binding arbitration on an individual basis. By accessing or using the Prezivio Health platform, you expressly acknowledge and accept all terms of this Agreement. If you do not agree, you may not use the platform.

The Prezivio Health Platform

Prezivio Health is operated by Lotenix Technology LLC, a Maryland-based company. The Prezivio Health platform ("Platform") provides a marketplace where seniors and individuals requiring care ("Seniors" or "Clients") can be matched in real time with verified, background-checked care providers ("Providers" or "Caregivers").

The Platform includes our website at preziviohealth.com, our Android mobile applications (Senior App and Provider App), our real-time matching and GPS tracking infrastructure (RAMEN), our admin dashboard, and all associated services.

Prezivio Health is a technology platform that facilitates connections between Seniors and Providers. Prezivio Health is not a healthcare provider, home health agency, or employer of Providers. Each Provider is an independent contractor who decides whether to accept care requests.

๐Ÿ”„ Platform Modifications

Prezivio Health reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the updated Terms. We will notify registered users of material changes via email or in-app notification.

Eligibility

To use the Prezivio Health Platform, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into a binding agreement
  • Reside in or require care services within our Maryland service area (Baltimore, Columbia, Rockville, and surrounding counties)
  • Provide accurate, current, and complete registration information
  • Not have had a prior account terminated for cause

Providers must additionally meet all applicable Maryland licensing, certification, and background check requirements prior to activation on the Platform.

User Accounts

Each person may maintain only one account per role (one Senior account, one Provider account). You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

Account Security

You agree to notify us immediately at support@preziviohealth.com if you suspect unauthorized access to your account. Prezivio Health will never ask for your password via email or phone.

Account Status

Provider accounts are subject to approval review. Accounts may be in one of the following states: Pending Review, Approved, On Hold, Suspended, or Deactivated. Only Approved accounts may offer or request services through the Platform.

Services & AI Matching

When a Senior submits a care request, our proprietary 6-factor AI matching algorithm evaluates available Providers in real time across the following dimensions:

  • Service Match โ€” exact overlap between requested services and Provider certifications
  • Credentials โ€” CNA, RN, HHA, CPR, First Aid, and specialty certifications
  • Experience โ€” years of professional caregiving experience
  • Proximity โ€” real-time GPS distance from Senior's location
  • Availability โ€” Provider's scheduled availability days and hours
  • Ratings โ€” aggregate star ratings from prior service completions

A Provider's decision to accept or decline any request is entirely at their discretion. Prezivio Health does not guarantee that a match will be found or that a service will be completed.

Charges, Billing & Payments

All charges are fully itemized and displayed to Seniors before and after each service. There are no hidden fees.

Payment Processing

All payments are processed through third-party payment processors. By adding a payment method, you authorize Prezivio Health to charge that method for all services rendered. Cash payments are not accepted through the Platform.

Provider Payments

Providers receive 85% of the hourly care rate plus 100% of mileage charges. Platform fees are deducted from the Senior's total charge, not from Provider earnings. Payments are disbursed to Providers' registered bank accounts on a rolling schedule.

๐Ÿ’ฐ No Refund Policy

All charges are non-refundable except as required by Maryland law. Disputes regarding charges must be submitted to support@preziviohealth.com within 14 days of the service date.

Provider Requirements & Representations

By registering as a Provider on the Prezivio Health Platform, you represent, warrant, and agree that:

  • You are legally authorized to work in the United States
  • All certifications and credentials you submit are valid, current, and authentic
  • You will maintain valid personal liability insurance at all times while providing services
  • If providing transport, you hold a valid Maryland driver's license and maintain active auto insurance meeting state minimums
  • You will not provide services while impaired by alcohol, medication, or any substance
  • You will treat all Seniors with dignity, respect, and compassion at all times
  • You will not discriminate against Seniors based on race, nationality, religion, gender, disability, age, or sexual orientation
  • You understand and agree that you are an independent contractor, not an employee of Prezivio Health or Lotenix Technology LLC
  • You are responsible for all applicable federal, state, and local taxes on your earnings

Background Checks & Verification

All Providers must pass a comprehensive 5-layer verification process before their account is approved:

  • Criminal Background Check โ€” National and Maryland county-level criminal history
  • Motor Vehicle Record (MVR) โ€” Driving history for transport-eligible Providers
  • Sex Offender Registry โ€” Cross-referenced against national and state registries
  • Professional License Verification โ€” CNA, RN, HHA credentials verified with Maryland licensing boards
  • AI Identity Verification โ€” Government-issued photo ID compared to live selfie via AI facial recognition

Background checks are conducted by accredited third-party screening partners. Prezivio Health reserves the right to conduct re-screening at any time and to deactivate any Provider whose background check reveals disqualifying information.

By registering as a Provider, you consent to these checks and authorize Prezivio Health and its screening partners to access your records for this purpose.

GPS Tracking & Location Services

The Platform uses GPS location data for the following purposes:

  • Real-time display of Provider location on the Senior's tracking map
  • Calculation of distance for mileage billing
  • AI matching based on proximity
  • Trip logging and errand tracking
  • Safety monitoring and incident investigation

Providers' locations are shared with Seniors only during active service requests. Seniors' locations are used solely for matching and navigation purposes and are not disclosed to third parties.

๐Ÿ“ GPS Accuracy

Mileage charges are calculated using GPS data with ยฑ5 meter accuracy. All trip distance data is stored permanently and available for review in the event of a billing dispute.

Restricted Activities

Users of the Prezivio Health Platform agree not to:

  • Create duplicate accounts or impersonate another person or entity
  • Submit false, fraudulent, or misleading registration information
  • Attempt to circumvent the Platform's matching, payment, or verification systems
  • Engage in or facilitate any illegal activity through the Platform
  • Harass, threaten, or discriminate against any other user
  • Share login credentials or allow another person to use your account
  • Use the Platform to solicit off-platform payments or service arrangements
  • Reproduce, distribute, or commercially exploit any portion of the Platform without written consent
  • Reverse-engineer, decompile, or otherwise attempt to extract source code from our applications
  • Use automated tools, bots, or scrapers to access the Platform

๐Ÿšซ Zero Tolerance Policy

Any form of abuse, exploitation, or misconduct involving a Senior will result in immediate permanent account deactivation and may be reported to law enforcement. Prezivio Health has a zero-tolerance policy for any harm to Seniors.

Privacy & Data

Your use of the Prezivio Health Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

Data We Collect

  • Account registration information (name, email, phone, address, date of birth)
  • Provider credentials, certifications, and background check results
  • Real-time and historical GPS location data
  • Service request and completion records
  • Payment information (processed securely by third-party processors)
  • In-app chat messages between Seniors and Providers
  • Device information and usage analytics

Data Retention

We retain your personal data for as long as your account is active or as required by law. Service records are retained for a minimum of 7 years for tax and legal compliance purposes. You may request deletion of your account by contacting support@preziviohealth.com.

HIPAA & Health Information

Prezivio Health is committed to protecting the health information of our Senior users. The Platform is designed with HIPAA-aware practices, including:

  • End-to-end encryption of all in-app communications via our RAMEN protocol
  • Access controls limiting health information to authorized parties only
  • Secure storage of medical conditions, medications, allergies, and care notes
  • No sale of health information to third parties under any circumstances

Providers who receive health information about Seniors through the Platform agree to treat such information as strictly confidential and to use it solely for the purpose of providing the requested care services. Unauthorized disclosure of a Senior's health information may constitute a violation of HIPAA and applicable Maryland law.

Intellectual Property

All intellectual property rights in and to the Prezivio Health Platform โ€” including the website, mobile applications, RAMEN server infrastructure, AI matching algorithm, brand assets, logos, and content โ€” are owned exclusively by Lotenix Technology LLC.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Platform without prior written consent from Prezivio Health.

Any feedback, suggestions, or ideas you submit to Prezivio Health become the sole property of Lotenix Technology LLC without compensation to you.

Disclaimers

THE PREZIVIO HEALTH PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Prezivio Health does not provide healthcare services and is not a licensed home health agency. We do not warrant that Providers are licensed healthcare professionals unless explicitly verified and indicated on their profile.

We cannot guarantee the availability of Providers at any given time or location, the accuracy of GPS data, the uninterrupted availability of the Platform, or that the Platform will be free from errors or security vulnerabilities.

You are solely responsible for evaluating the suitability of any Provider for your care needs before confirming a service request.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREZIVIO HEALTH AND LOTENIX TECHNOLOGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES.

Our total liability to you for any claim arising out of or relating to this Agreement or the Platform shall not exceed the total fees paid by you to Prezivio Health in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. These limitations may not apply to you to the extent prohibited by Maryland or federal law.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform shall first be attempted to be resolved through informal negotiation. Please contact us at support@preziviohealth.com with a written description of your dispute.

Governing Law

This Agreement shall be governed by the laws of the State of Maryland, without regard to conflict of law principles. Any legal proceedings shall be brought exclusively in the state or federal courts located in Baltimore County, Maryland.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Indemnification

You agree to indemnify and hold harmless Prezivio Health, Lotenix Technology LLC, and their officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or violation of any third-party rights.

Termination

This Agreement is effective upon your acceptance (by registering or using the Platform) and remains in effect until terminated.

Termination by You

You may close your account at any time by contacting support@preziviohealth.com. Termination does not relieve you of any outstanding payment obligations.

Termination by Prezivio Health

We may suspend or terminate your account immediately, without notice, if:

  • You breach any provision of these Terms
  • You engage in fraudulent, abusive, or unsafe behavior
  • Your background check reveals disqualifying information (Providers)
  • We have a good-faith belief that termination is necessary to protect the safety of Seniors or others
  • Required by law or regulation
